Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Kliento (“we”, “us”) regarding your use of the platform at kliento.in. By creating an account or otherwise using Kliento, you accept these Terms.

If you do not agree, do not use the service. If you're entering into these Terms on behalf of a business entity, you confirm you have authority to bind that entity.

Kliento is an end-to-end platform for Indian freelancers and small studios to issue GST-compliant quotations, invoices, and tax reports. The service includes:

• Quotation creation, sharing, and electronic acceptance by clients.
• Invoice generation with CGST/SGST/IGST calculation, HSN/SAC codes, FY-aware numbering.
• Recurring invoices (retainers) and automated reminders.
• Client portal with UPI deep links and (optionally) Razorpay payment links.
• Expense tracking and ITR-helper P&L exports.
• GSTR-1 CSV export for B2B outward supplies.

We may add, modify, or remove features over time. Material changes will be communicated as set out in clause 14.

• You must be at least 18 years old.
• You must be legally capable of entering into contracts in India.
• If you're GST-registered, you remain responsible for the accuracy of the GSTIN, HSN/SAC, and tax positions you record on Kliento.

• You're responsible for the credentials you use and for all activity under your account.
• Notify us at security@kliento.in immediately if you suspect unauthorised access.
• You may not share your account with other individuals. Each freelancer needs their own account.
• We may suspend or terminate accounts that violate these Terms, our acceptable-use rules, or applicable law.

You agree not to:

• Use Kliento to invoice for illegal goods or services, or to facilitate money laundering, tax evasion, or fraud.
• Issue invoices to recipients who have not consented to receive them.
• Upload or transmit malware, attempt to access other users' data, or probe our infrastructure for vulnerabilities outside our responsible-disclosure policy.
• Use the platform to send unsolicited bulk email, spam, or marketing communications.
• Reverse-engineer, scrape, or replicate Kliento for competitive purposes.
• Bypass usage limits, rate-limits, or plan restrictions.

We may immediately suspend access if we believe acceptable-use rules have been breached.

• Free tier. Available indefinitely, subject to usage caps displayed at the time of signup (currently: 2 active clients, 5 invoices/month, 3 quotes/month).
• Pro tier.Paid plan with unlimited usage and additional features. Billed monthly in INR via Razorpay. Prices may change with 30 days' notice; the change will not affect your current billing cycle.
• Trial.If we offer a free trial of Pro, the plan auto-renews into the paid tier at the trial's end unless cancelled before then.
• Refunds.Monthly subscriptions are non-refundable for partial months. We'll consider goodwill refunds for service outages exceeding 8 hours in a billing cycle.
• Taxes. Plan prices are exclusive of GST. GST will be added at the prevailing rate and charged in addition.

You are solely responsible for verifying receipt of funds, issuing receipts, and reconciling payments with your invoices. Razorpay's terms govern your relationship with Razorpay.

• Your data is yours. You retain all rights to the invoices, quotes, client data, and other content you upload. We claim no ownership over it.
• You grant us a limited, non-exclusive licence to host, copy, transmit, and display your content solely to operate the service for you.
• Our platform is ours. The Kliento software, design, brand, and content (other than your data) are owned by us and licensed to you under these Terms.

You can export your invoices (PDF), quotes, expenses, and reports (CSV) at any time from inside the app. After account deletion, you have 14 days to request a final export by email before purge is irreversible.

Kliento helps you compute GST, prepare GSTR-1 data, and summarise your P&L for ITR filing. It is a tool, not a substitute for a Chartered Accountant or qualified advisor. We do not provide tax, legal, or financial advice. You are responsible for verifying every figure before filing, and for retaining a CA where appropriate.

We aim for 99.9% uptime month-over-month, but the service is provided “as is”. We do not guarantee uninterrupted availability, freedom from bugs, or that every feature will be accurate in every edge case. To the maximum extent permitted by law, we disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement).

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of these Terms or your use of Kliento is limited to the greater of:

• the total fees you paid us in the twelve (12) months preceding the event giving rise to the claim, or
• INR 10,000.

We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages (including loss of profits, goodwill, or business opportunity), even if advised of the possibility.

You agree to indemnify and hold us harmless from claims, damages, and costs (including reasonable legal fees) arising from: (a) your use of the service in breach of these Terms; (b) the content you upload (including any infringement of third-party rights); and (c) any tax dispute or regulatory action arising from the invoices and reports you generate.

We may modify these Terms occasionally. We'll post the new version with an updated “Last updated” date and, for material changes, notify you by email and via the dashboard at least 14 days before they take effect. Continued use of the service after the effective date means you accept the updated Terms.

• You may close your account at any time from Settings → Danger Zone.
• We may suspend or terminate accounts that breach these Terms, on reasonable notice where practicable.
• Clauses 8, 10, 11, 12, 13, and 17 survive termination.

Neither party is liable for failure to perform caused by events beyond reasonable control, including acts of God, war, civil unrest, pandemic, government action, internet/cloud outages, or cyber-attacks not arising from the affected party's negligence.

These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction. Before bringing any claim, the parties agree to attempt good-faith resolution by email or video call within 30 days.
